How to Open a Business in Poland in 2026 — Costs and Step-by-Step Guide

A complete guide for foreigners on how to register a business in Poland in 2026. We cover legal forms, registration costs, ZUS contributions and the tax system for new entrepreneurs.

Poland is one of the most attractive destinations in Central Europe for launching a business. A large domestic market, a skilled workforce, competitive costs and EU membership make it a compelling choice for entrepreneurs from both within and outside the EU. But navigating the Polish administrative system requires knowing the rules — especially if you are doing it for the first time.

Legal Forms of Business in Poland

The most common structures for small and medium businesses are:

  • Sole Proprietorship (JDG — Jednoosobowa Dzialalnosc Gospodarcza): the simplest form. One person, unlimited personal liability. Best for freelancers, consultants and small service businesses. Registration is free and takes 1 business day via CEIDG (Central Register of Business Activity).
  • Limited Liability Company (Sp. z o.o.): a separate legal entity, limited liability for shareholders. Minimum share capital: 5,000 PLN. Registration via the online S24 system takes 1–3 days (from 250 PLN in court fees) or via a notary (1,000–3,000 PLN). Preferred for larger ventures and external investors.
  • Civil Partnership (Spolka cywilna): informal structure for 2+ co-founders, each registers a separate JDG. No registration cost, full personal liability.

Registration Process — JDG Step by Step

  • Step 1: Obtain a PESEL number (for EU citizens) or register under NIP if you are from outside the EU. EU citizens can apply online at urzad.gov.pl.
  • Step 2: Register on the CEIDG portal (biznes.gov.pl). Choose your PKD codes (the Polish equivalent of NACE industry codes).
  • Step 3: Select your tax form (see below) — declare it on the CEIDG form.
  • Step 4: Register for ZUS social insurance within 7 days of starting business.
  • Step 5: Open a business bank account (mandatory for VAT payers, strongly recommended for all).

Total time: 1–3 business days. Cost: free for JDG registration.

Tax Options for New Entrepreneurs

Poland offers several taxation methods for sole proprietors:

  • Progressive tax scale: 12% up to 120,000 PLN / 32% above. Allows all deductions (family relief, health insurance, etc.).
  • Flat tax (podatek liniowy): 19% on net income regardless of amount. No personal deductions but lower rate for high earners.
  • Lump-sum tax (ryczalt): fixed rate on revenue (not profit), ranging from 2% to 17% depending on business type. No cost deductions. Ideal for service businesses with low costs.

The choice must be declared at registration and can generally be changed once a year (by 20 February for the following year).

ZUS Social Insurance Contributions in 2026

Every JDG owner must pay monthly ZUS contributions:

  • Preferencyjny ZUS (first 24 months): approx. 430–500 PLN/month (social insurance only, from a reduced base of 30% of minimum wage). Available to most new entrepreneurs.
  • Maly ZUS Plus: contributions proportional to actual income — for small businesses after the preferential period ends.
  • Standard ZUS: approx. 1,600–1,900 PLN/month (social + health insurance from 60% of average wage).

Health insurance contribution (NFZ) is calculated separately based on your chosen tax form and income.

VAT Registration

VAT registration is mandatory once your annual turnover exceeds 200,000 PLN. Below this threshold, you can operate as a VAT-exempt entity. Voluntary early registration is possible and may be beneficial if your clients are VAT-registered businesses that can reclaim input VAT.

Practical Tips for Foreigners

  • If you are from outside the EU, check whether your country of origin has a bilateral agreement with Poland allowing you to start a JDG (alternatively, you may need a Sp. z o.o.).
  • Consider using a Polish accountant (ksiegowy) from day one — monthly cost is 200–600 PLN but avoids costly mistakes.
  • Open your business bank account at a bank with good English-language support (mBank, Santander, ING offer English interfaces).
